Distance Sales Agreement

Article 1 — Parties

This agreement is concluded electronically between the Provider — FİMAJOR YAZILIM VE BİLİŞİM TEKNOLOJİLERİ SANAYİ TİCARET LİMİTED ŞİRKETİ, Evliya Çelebi Mah. Sadi Konuralp Cad. Nejat Eczacıbaşı No: 5, 34433 Beyoğlu/İstanbul, Türkiye (İstanbul Trade Registry No. 36676-5; MERSIS No. 0388079100100018; Beyoğlu Tax Office, Tax No. 3880791001), operating the PhiWebs platform at phiwebs.com Telephone: +90 212 909 96 33. — and the Buyer (consumer), whose identity and contact details are those provided during checkout. PhiMajor Solutions is the trading name of this company; the two names refer to the same legal entity.

The Buyer's details are those declared electronically at checkout — name, surname, address and email address — and are recorded with the order.

Where the Buyer is not a consumer within the meaning of Law No. 6502 because they act for commercial or professional purposes, Article 5 on the right of withdrawal and the other provisions of this agreement that refer to consumer legislation do not apply.

Article 2 — Subject

The subject of this agreement is the sale and delivery of the service ordered electronically by the Buyer, and the determination of the parties' rights and obligations in accordance with the Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation.

Article 3 — Service Details and Price

The service consists of the PhiWebs subscription plan selected by the Buyer, provided on a monthly subscription basis. The characteristics of the selected plan and its total price, inclusive of all taxes, are displayed to the Buyer at checkout before the order is confirmed, and payment is collected electronically.

The subscription is billed monthly and the fee is collected in advance at the start of each period, through the payment institution, using the payment method selected by the Buyer at checkout.

The service is supplied in digital form. There is no physical delivery and no shipping charge. Access to the service opens once the payment is approved.

This agreement is of indefinite term. Unless cancelled by the Buyer, the subscription renews automatically for a further period on the same terms at the end of each billing period, and the fee for the renewed period is charged again to the payment method chosen by the Buyer.

Article 4 — General Provisions

The Buyer confirms having read and accepted the pre-contractual information before concluding this agreement. The service is performed electronically upon activation of the subscription. The subscription may be cancelled at any time; cancellation takes effect at the end of the current billing period, and access to the service continues until that date.

The Provider is obliged to perform the service in accordance with this agreement and with applicable law. The Buyer is responsible for the accuracy of their account details and for the transactions carried out through their account.

Following termination of the subscription, the Buyer's data is retained for 30 days and then deleted, without prejudice to statutory retention obligations.

Following order confirmation, the Provider sends the Buyer copies of this agreement and of the Pre-Information Form, completed for that order, to the email address given by the Buyer on a durable medium, and keeps them accessible from the Buyer’s account screen.

Article 5 — Right of Withdrawal

The Buyer has the right to withdraw from this agreement within 14 days without giving any reason, by notifying the Provider through the contact channels stated in the pre-contractual information.

Exceptions applicable to digital content and services under the Distance Contracts Regulation apply: where performance of the service begins with the Buyer's express consent before the withdrawal period expires, the right of withdrawal may not be exercised to the extent provided by law.

Notice of withdrawal must be given within the period, clearly, to sales@phiwebs.com or through the cancellation channel in the account screen.

Article 6 — Entry into Force

This agreement enters into force upon its electronic approval by the Buyer during checkout.

In disputes arising from this agreement, within the monetary limits announced by the Turkish Ministry of Trade, the Consumer Arbitration Committees and Consumer Courts at the Buyer’s place of residence or at the place where the consumer transaction was carried out have jurisdiction.
