Acceptance of Terms
By accessing or using PhiWebs ("the Service"), operated by PhiMajor Solutions, Istanbul, Türkiye, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
Description of Service
PhiWebs provides a platform for creating, managing, and sharing digital surfaces. The Service includes web-based tools, APIs, and related services that enable users to build and deploy digital experiences.
Account Registration
To use certain features, you must create an account with accurate information, maintain the security of your account credentials, notify us immediately of any unauthorized access, and be at least 18 years old or have parental consent.
You are responsible for all activities that occur under your account.
Acceptable Use
You agree not to violate any applicable laws or regulations, infringe on intellectual property rights, transmit malicious code or interfere with the Service, attempt to gain unauthorized access to systems, use the Service for illegal or harmful purposes, or resell or redistribute the Service without authorization.
Intellectual Property
The Service and its original content, features, and functionality are owned by PhiMajor Solutions and are protected by international copyright, trademark, and other intellectual property laws.
You own the content you create with, or upload to, the Service (the "User Content"). Solely so that the Service can be provided, operated and backed up, you grant us a worldwide, royalty-free, non-exclusive licence to reproduce, distribute, adapt and communicate the User Content to the public; the licence covers technically necessary copies and format conversions, backups and preview generation. If you publish your content or offer it on the Marketplace, the licence also covers sub-licensing to the extent necessary to make the content available to the audience you choose and to distribute it. The licence ends when you remove the content from the Service or close your account; copies held in technically necessary backups remain subject to it until they are deleted in the ordinary backup cycle.
Applications You Publish
You decide what to publish. You are solely responsible for the lawfulness of any application, page or content you publish through the Service — its accuracy, its copyright and trademark position, third parties' personality rights, advertising and commercial-claim rules, consumer legislation, and any regulation specific to the sector you operate in.
If your published application collects or processes personal data, you are the data controller for that data under Law No. 6698 on the Protection of Personal Data and any other applicable regime. The duty to inform, to obtain explicit consent, to answer data-subject requests and, where required, to register with VERBİS is yours. PhiMajor Solutions acts as a data processor for that data, on your instructions only.
PhiMajor Solutions is under no obligation to review published content in advance, and does not. Publication does not mean the content has been examined, approved or found lawful by us.
PhiMajor Solutions reserves the right to remove any content or application from publication, to refuse to publish it, and to suspend access to it, without stating a reason. Exercising that right does not require a refund of amounts already paid and does not create any duty to monitor.
You agree to indemnify PhiMajor Solutions against third-party claims, administrative penalties, damages and costs arising from an application you have published.
When you publish an application you are asked to confirm, electronically and separately, that you have read and accepted this clause. That confirmation is retained as part of the publication record.
AI-Assisted Features
The Service includes AI-assisted features that generate content from the input you provide (the "Output"). PhiMajor Solutions claims no rights over the Output and assigns to you all rights that can lawfully be assigned.
By the nature of AI generation, similar inputs may produce similar or identical Output for other users; the Output is not guaranteed to be exclusive to you. The accuracy, currency, legal compliance and non-infringement of the Output are not guaranteed; checking the Output and obtaining any necessary permissions before using it is your responsibility.
Input you provide when using AI features is transmitted, solely in order to fulfil your request, to third-party model providers that may be established outside Türkiye. The scope of that transfer is described in the KVKK Information Notice and the Privacy Policy. We recommend that you do not include personal data in your input.
Infringement Notices and Content Removal
If you believe that content published through the Service infringes your rights, you may send a notice to abuse@phiwebs.com. Your notice should include information showing that you are the rights holder, the right you claim is infringed, the full address at which the content appears, your contact details, and a clear statement that the information you give is accurate.
Valid notices are reviewed within 3 business days at the latest. Where the request is well founded, the content is taken down or access to it is blocked, and the user who published it is notified with the reason. That user may object by sending a counter-notice to the same address.
The remedies available under the Turkish Law on Intellectual and Artistic Works No. 5846 and under Law No. 5651 are reserved.
Marketplace
The content packages ("pwpacks") offered on the PhiWebs Marketplace are currently published solely by PhiMajor Solutions. In sales made through the Marketplace, PhiMajor Solutions is the seller, the party issuing the invoice and the party to the contract; the Distance Sales Agreement and the Pre-Information Form apply to those sales in the same way as to subscription sales.
The Marketplace is not open to pwpacks published by third parties. When it opens, the publisher of each pwpack will be shown on the product page with its identity and contact details, and PhiMajor Solutions' role in that relationship will be set out separately in these Terms.
Payment Terms
Paid plans are provided as a monthly subscription. Fees are charged in advance on a recurring basis at the start of each billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period, and no further charges are made after that date. Except where required by law or expressly stated otherwise, fees already paid are non-refundable. We may change pricing with 30 days' notice; if you do not accept the new price you may end your subscription at no cost before the change takes effect. Prices shown to consumers are inclusive of all taxes; for users acting for commercial or professional purposes, any taxes and duties that must be added under applicable law are payable by the user and shown separately on the invoice.
For users who are consumers, the Distance Sales Agreement and the Pre-Information Form apply in addition to these Terms.
Termination
We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
You may request deletion of your account from your account settings at any time, or terminate it through support. A deletion request is confirmed through the link sent to your e-mail, valid for 15 minutes; upon confirmation your right to use the Service ceases, your account is anonymised and your remaining data is deleted 30 days later, without prejudice to statutory retention obligations. If you delete your workspace you may restore it within 30 days; the applications you published are taken offline during that period.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Nothing in this section limits rights that consumers have under mandatory provisions of applicable law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHIWEBS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
In any event, our total liability for all claims arising out of these Terms or your use of the Service is limited to the subscription fees you actually paid in the twelve (12) months preceding the event giving rise to the claim.
These limitations do not apply to liability arising from wilful misconduct or gross negligence, to death or personal injury, or to rights consumers have under mandatory provisions of applicable law.
Indemnification
You agree to indemnify and hold harmless PhiWebs, PhiMajor Solutions, and their officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.
Changes to Terms
If we change these Terms, material changes are notified to you by email and announced on our site at least thirty days before they take effect. If you do not accept a change, you may end your subscription without penalty before it takes effect, and any amount paid for the unused part of the period is refunded. Changes required by law or by a decision of a competent authority, and changes made solely in your favour, are not subject to this notice period.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law principles. Mandatory consumer protection provisions of the law of your place of residence remain unaffected. The courts and enforcement offices of Istanbul have jurisdiction over disputes. Consumers keep their right to apply to Consumer Arbitration Committees and Consumer Courts.
General Provisions
Severability: if any provision of these Terms is invalid or unenforceable, the validity of the remaining provisions is unaffected.
Waiver: failing to exercise a right, or exercising it late, does not amount to waiving it.
Assignment: we may assign this agreement to a third party in a merger, demerger or transfer of business, provided your rights are not reduced. You may not assign it without our prior written consent.
Force majeure: we are not liable where performance becomes impossible or is delayed by events outside our control, such as natural disaster, war, epidemic, general strike, or infrastructure and communications failures.
Survival: the provisions on intellectual property, limitation of liability, indemnification, governing law and jurisdiction survive termination.
Language: if the Turkish and English versions of this text differ, the Turkish version prevails. Mandatory protective provisions of the law of the consumer’s habitual residence are unaffected.
Conflict: for users who are consumers, where these Terms conflict with the Distance Sales Agreement or the Pre-Information Form, the provision more favourable to the consumer applies.
